This course will help research contracts professionals to develop technical knowledge that will help them confidently draft, interpret and amend contracts, whilst building strong relationships and consensus with their stakeholders.

Course Content and Outcomes

During this residential course delegates will be trained to:

  • Understand how the research contracts role fits in to the internal structure of their organisation
  • Research effectively the context of the contract; understand the key relationships and positions of stakeholders;and define the minimum ‘acceptable terms’ for the contract.
  • Understand and interpret key contract clauses including warranties, indemnities and intellectual property provisions and assess how amended clauses will impact the deal.
  • Assess and manage the risk associated with each research contract
  • Use model agreements (Lambert, Brunswick, Clinical, etc.) where appropriate.
  • Manage negotiations in a flexible and assertive manner

The objective is to ensure the production of a good contract which facilitates future research development and fairly apportions rights to intellectual property and future applications of new inventions. The course includes a mix of presentation, discussion and case study work to ensure that key learning can be applied on the job.

Trainers are leading practitioners in the field and bring to the course their own in-depth experiences of the challenges faced by research contract professionals.

Who should attend?

This intermediate level course is aimed primarily at staff from UK research contracts offices in academic institutions, NHS Research Offices, Academic Health Science Centres (AHSCs), and public sector research establishments (PSREs) – for example; Departmental Research Bodies, and Research Council Headquarters and Institutes.  However, it will also be of interest to those working in Technology Transfer Offices in the above institutions who would like to know more about the detail of contract negotiation.
